Welcome to Nexalith. These Terms and Conditions ("Terms") govern your use of our website located at Nexalith.sg ("Website") and the financial accounting optimization services ("Services") provided by Nexalith, operating from 600 North Bridge Road, #23-01, Parkview Square, Singapore 188778.

Nexalith provides financial accounting optimization services, including but not limited to process automation, financial data optimization, strategic financial analytics, compliance management, financial reporting optimization, and financial team optimization.

The specific scope, deliverables, timelines, and fees for Services will be outlined in a separate Service Agreement between Nexalith and the Client.

3.2 Service Modifications

Nexalith reserves the right to modify, suspend, or discontinue any part of the Services at any time. We will provide reasonable notice of substantial modifications to existing Services that may affect our Clients.

3.3 Third-Party Services

Our Services may include or require the use of third-party software, services, or products. Your use of these third-party services may be subject to additional terms and conditions. Nexalith is not responsible for any third-party services and disclaims all liability for them.

4. User Obligations

4.1 Account Registration

Some portions of our Services may require you to create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

You are responsible for safeguarding your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account or any other breach of security.

4.2 Client Responsibilities

As a Client of Nexalith, you agree to:

Provide accurate, complete, and timely information necessary for the provision of Services
Cooperate with Nexalith in all matters relating to the Services
Provide timely feedback and approvals when requested
Comply with all applicable laws and regulations
Use the Services only for lawful purposes and in accordance with these Terms
Pay all fees as outlined in your Service Agreement

4.3 Prohibited Uses

You agree not to use the Website or Services to:

Violate any applicable law, regulation, or these Terms
Infringe upon or violate the intellectual property rights or any other rights of anyone else
Attempt to interfere with, compromise the system integrity or security, or decipher any transmissions to or from the servers running the Website
Take any action that imposes, or may impose, an unreasonable or disproportionately large load on our infrastructure
Upload or transmit viruses, malware, or other types of malicious software
Collect or track the personal information of others
Impersonate or misrepresent your affiliation with any person or entity

5. Intellectual Property Rights

5.3 Client Materials

You retain all rights to any materials, data, or information that you provide to Nexalith in connection with the Services ("Client Materials"). By providing Client Materials, you grant Nexalith a limited, non-exclusive, royalty-free license to use, reproduce, and process the Client Materials solely for the purpose of providing the Services to you.

5.4 Service Deliverables

Unless otherwise specified in a Service Agreement, Nexalith retains all intellectual property rights in methodologies, processes, techniques, ideas, concepts, trade secrets, and know-how that may be developed or utilized in connection with the Services.

Upon full payment of all applicable fees, Nexalith grants the Client a non-exclusive, non-transferable license to use the deliverables resulting from the Services for the Client's internal business purposes.

6. Confidentiality

Each party may disclose confidential information to the other party during the provision of Services. "Confidential Information" means all non-public information disclosed by one party to the other that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure.

Each party agrees to:

Protect the confidentiality of the other party's Confidential Information with at least the same degree of care it uses to protect its own confidential information, but no less than reasonable care
Use the other party's Confidential Information solely for the purpose of performing obligations or exercising rights under these Terms
Limit access to the other party's Confidential Information to those employees, contractors, and agents who need such access for purposes consistent with these Terms and who are bound by confidentiality obligations at least as protective as those herein

These confidentiality obligations will survive the termination of these Terms or any Service Agreement for a period of five (5) years.

7. Limitation of Liability

7.1 Disclaimer of Warranties

THE WEBSITE AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. Nexalith EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Nexalith MAKES NO WARRANTY THAT THE WEBSITE OR SERVICES WILL MEET YOUR REQUIREMENTS, BE AVAILABLE ON AN UNINTERRUPTED, SECURE, OR ERROR-FREE BASIS, OR THAT THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICES WILL BE ACCURATE OR RELIABLE.

7.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL Nexalith, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE WEBSITE OR SERVICES
ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE WEBSITE
ANY CONTENT OBTAINED FROM THE WEBSITE OR SERVICES
UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT

IN ANY EVENT, Nexalith'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS RELATED TO THE SERVICES SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO Nexalith FOR THE SERVICES DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

8. Termination

Nexalith may terminate or suspend your access to the Website and Services immediately, without prior notice or liability, for any reason whatsoever, including, without limitation, if you breach these Terms.

All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

If you have entered into a Service Agreement with Nexalith, the termination provisions in that agreement will govern the termination of the Services provided under that agreement.

9. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Singapore, without regard to its conflict of law provisions.

Any dispute arising out of or in connection with these Terms, including any question regarding its existence, validity, or termination, shall be referred to and finally resolved by arbitration in Singapore in accordance with the Arbitration Rules of the Singapore International Arbitration Centre for the time being in force, which rules are deemed to be incorporated by reference in this clause.

The language of the arbitration shall be English.
